To protect your rights and interests, please carefully read the NovelClip (Yituwen) Membership Service Agreement (hereinafter referred to as "this Agreement") before activating this Service to ensure that you fully understand and accept all clauses herein; otherwise, you will not be able to use this Service. Your purchase or use of this Service shall be deemed as your reading and agreement to accept all contents of this Agreement.
This Agreement is entered into between Xiamen Mikuilai Technology Co., Ltd. (hereinafter referred to as "NovelClip Technology") and the user (hereinafter also referred to as "you"), and is an integral part of the NovelClip platform rules. In case of any inconsistency between this Agreement and the User Service Agreement and Privacy Policy, the User Service Agreement and Privacy Policy shall prevail.
If you do not have full civil capacity due to factors such as age or intellectual ability, please read and agree to this Agreement accompanied by a guardian.
If you are a user outside the Chinese mainland, your conclusion or performance of this Agreement and use of this Service shall comply with the laws of the country or region to which you belong. You shall warrant that your conclusion and performance of this Agreement do not violate the mandatory provisions of the laws and regulations of the country or region to which you belong.
This Agreement and relevant service terms may be updated by NovelClip Technology at any time and published on the NovelClip APP platform. Once the updated service terms are published, they shall replace the original service terms, and no separate notice will be given. Users can view the latest version of the service terms on this website. You may choose to accept and continue using this Service, or refuse to accept and stop using this Service.
NovelClip Membership Service is a paid value-added online service provided by NovelClip Technology for you. After becoming a NovelClip member user, you may enjoy various exclusive services in accordance with this Agreement. The specific types and contents of NovelClip Membership Service shall be subject to those published on the relevant service pages and actually provided. You may choose the corresponding services according to your own needs.
The ownership and operation right of NovelClip Membership Service, as well as the right to formulate systems and activities, belong to NovelClip Technology, which shall have the right of interpretation within the scope permitted by law.
2.1 If you wish to use NovelClip Membership Service, you need to become a NovelClip user. After successfully logging in to your NovelClip account, you may apply to activate NovelClip Membership Service. A NovelClip user refers to a registered user who has completed the entire registration process, is willing to accept the NovelClip User Service Agreement and uses NovelClip services in accordance with the provisions of the relevant usage norms of NovelClip. The NovelClip account you use to log in when using NovelClip Membership Service is the sole basis for NovelClip Technology to confirm your identity.
2.2 You may apply to activate NovelClip Membership Service on the service activation interface, and the service will be successfully activated upon successful payment. When activating the service, please carefully check the account name, type of service activated, market and other specific information. NovelClip Technology shall not be liable for any transaction errors caused by your personal reasons.
2.3 After successfully activating NovelClip Membership Service, you may enjoy a variety of exclusive value-added services provided by NovelClip Technology, and the specific contents will be displayed on the relevant pages. NovelClip Membership Service adopts quarterly settlement, annual settlement and lifetime settlement. The quarterly settlement date is the 91st day from the date of activation; if you fail to use up the corresponding privileges before the quarterly settlement date, they will expire after the quarterly settlement date. The annual settlement date is the 366th day from the date of activation; if you fail to use up the corresponding privileges before the annual settlement date, they will expire after the annual settlement date. The lifetime settlement date means permanent use from the date of activation; once the membership is activated, no refund will be given.
2.4 NovelClip Technology may adjust the contents of NovelClip Membership Service according to business development, and modify and change the charging standards and methods of paid services according to actual needs. If you need to obtain and use this Service, please first understand the charging standards, methods and other information about this Service at that time in advance. Please pay attention to and understand the changes in contents and policies, and understand and agree to the adjustments made by NovelClip Technology. If you have enjoyed or are enjoying certain service contents or rights and interests before the adjustment, please accept the impact caused by the adjustment and agree to use the service in accordance with the adjusted contents, without requiring NovelClip Technology to bear any liability.
3.1 During the validity period of the activated NovelClip Membership Service, if you voluntarily cancel or terminate your NovelClip Membership Service qualification midway, you will not receive a refund of the paid fees.
3.2 After the expiration or cancellation of NovelClip Membership Service qualification, you will no longer enjoy NovelClip Membership Service.
3.3 Under normal circumstances, NovelClip Technology will not take the initiative to cancel your membership qualification unless your account is blocked or cancelled in accordance with relevant provisions because you violate legal provisions or platform rules. You shall bear the relevant losses caused by the suspension of the service.
4.1 You have civil right capacity and civil capacity, and have the ability to be liable for all acts of using NovelClip Membership Service. If you do not have the aforementioned subject qualification, when NovelClip Technology requires you to bear liability in accordance with legal provisions or the agreement of the service agreement, it shall have the right to recover compensation from your guardian or other liable parties. If you are a natural person, you shall provide your real name, address, email address, contact number and other information; if you are a legal person or other organization, you shall provide the name, address, contact person and other information.
4.2 Please properly keep the relevant account and be responsible for all activities and behaviors conducted through this account. It is prohibited to donate, borrow, rent, transfer or sell this account. You shall keep it properly by yourself and be responsible for it.
4.3 If you commit any of the following acts, NovelClip Technology shall have the right to terminate the provision of NovelClip Membership Service without notifying you, and shall have the right to restrict or freeze your account. You shall compensate NovelClip Technology and other third parties for any losses caused thereby:
(1) Obtaining NovelClip Membership Service for yourself or others for profit-making purposes;
(2) Providing your NovelClip account to a third party for use in any form such as rental, lending, sale, etc.;
(3) Misappropriating another person's NovelClip account;
(4) Obtaining NovelClip Membership Service by any improper technical means or other non-official and regular methods;
(5) Obtaining or using NovelClip Membership Service through other acts that violate public order and good customs or the principle of good faith.
4.4 If any of the following circumstances occurs, NovelClip Technology shall have the right to suspend or terminate the provision of one, multiple or all services to you without notifying you according to the actual situation, and the fees you have paid will not be refunded. If any losses are caused to NovelClip Technology or third parties thereby, you shall compensate for such losses:
(1) You provide false personal information or information inconsistent with the information at the time of registration and fail to provide reasonable proof;
(2) It is confirmed by the relevant national authorities or by an effective legal document of a judicial organ that you have committed illegal or infringing acts, and NovelClip Technology confirms, based on its own judgment, that your acts are suspected of violating the rules of the NovelClip platform or suspected of violating laws and regulations;
(3) Based on the protection of minors or national public interests and social public welfare, NovelClip Technology confirms, based on its own judgment, that your acts infringe on the rights and interests of teenagers or violate social public welfare or national interests;
(4) Your acts interfere with the normal operation of part or all functions of the NovelClip platform;
(5) Committing any other illegal acts.
5.1 If you purchase or accept goods or services provided by third-party merchants by exercising the rights stipulated in the service agreement and disputes arise therefrom, please claim your rights from the third-party merchant that sells or provides such goods or services.
5.2 NovelClip Technology shall not be liable for any losses caused by the acts or omissions of third parties or force majeure, including but not limited to communication line failures, communication technical problems, networks, computer hardware failures or hacker attacks and other infringing acts by payment service providers and telecommunications departments.
5.3 You understand and agree that in the course of using NovelClip Membership Service, if risks such as force majeure or server interruption occur, NovelClip Technology will cooperate with relevant units to repair as soon as possible, and you shall support this and not require NovelClip Technology to bear any losses caused to you thereby or refund the fees already paid.
6.1 If NovelClip Membership Service needs to be suspended, interrupted or terminated due to NovelClip Technology's strategic development, government acts or force majeure and other reasons, NovelClip Technology will notify you by means of announcement, refund the corresponding unperformed fees to you, and directly refund them to the corresponding account where you recharged.
6.2 This service agreement shall be governed by the laws of the People's Republic of China. In case of any dispute, you and NovelClip Technology agree to submit the dispute to the people's court for litigation resolution.
